STATUTES
I. COMPANY, REGISTERED OFFICE, DURATION, PURPOSE
- Name and registered office
The „World Soccer Coach Association (WSCA)“ is an association pursuant to Art. 60 et seq. of the Swiss Civil Code with its registered office in Bern. - Purpose
The purpose of the association is:- a) Representing the interests of its members internationally, i.e. worldwide, and at the level of the continental associations
- b) Supporting its members in the international environment
- c) Representing the interests of football coaches in the international environment
- d) The promotion of coach education in an international environment on and off the pitch
- e) The exchange of experiences, suggestions, visions and ideas
- f) The exchange and cooperation with FIFA, the continental associations, FIFPro, the media and other stakeholders
In particular, symposia, webinars and other online events are held for this purpose. A newsletter is also sent out twice a year.
The association is denominationally and politically neutral.
- Medium
In order to pursue the purpose of the association, the association disposes of the membership fees and the admission fee as well as donations and revenues of all kinds.
II. MEMBERSHIP AND TERMINATION
- Membership
Any national or regional coaches‘ association or any national or regional coaches‘ union worldwide can become a full member.
New members can be admitted at any time. Applications for admission must be addressed to the Secretary General. The Executive Board makes the final decision on admission.
Admission requires payment of the admission fee, unless the Executive Board has waived the admission fee in exceptional cases (upon justified request) or waived it for important reasons.
Honorary members may be appointed who have rendered outstanding services to football in general and coaching in particular. Honorary members have no voting rights and no financial obligations. - Resignation of the membership
Resignation from the Association is possible at the end of a calendar year. The declaration of resignation must be sent in writing to the Secretary General.
A member can be excluded if it grossly harms the interests of the association or disrupts the association life. The General Meeting decides on exclusion.
The member must always be heard before exclusion.
A member may also be excluded by the Executive Board (without the right of appeal to the General Meeting) if it fails to meet its financial obligations
even after receiving a written reminder.
III. ORGANE
- Organs of the association
The executive organs of the association are- a) the General Meeting;
- b) The Executive Board
- c) the Secretary General
- d) the Heads of the confederations or regions
- e) the Committees for the organization of events
- f) the Auditors
- The General Meeting
The General Meeting is the supreme organ of the association. The ordinary General Meeting takes place every second year as part of the symposium.
General Meetings can also be held online or in hybrid form.
Members are invited to the General Meeting in writing three weeks in advance, enclosing the agenda and the proposals of the Executive Board. Proposals from members must be submitted to the Executive Board in good time. Agenda items submitted late will generally be dealt with at the next General Meeting.
The Executive Board may convene to an Extraordinary General Meeting. An Extraordinary General Meeting must also be held if this is requested in writing by one fifth of the members, stating the agenda item.
The Annual General Meeting has the following powers:- a) Approval of the minutes of the last General Meeting;
- b) Election of the Executive Board;
- c) Election of the Auditors;
- d) Acceptance of the annual report of the Executive Board;
- e) Approval of the annual financial statements and any Auditor‘s report as well as approval of the budget;
- f) Determination of the membership fee within the framework set out in Art. 13;
- g) Relief of the organs;
- h) Election of honorary members;
- i) Amendments to the Statutes;
- j) Resolution on exclusions from the association;
- k) Resolution on the dissolution of the association;
- l) Resolution on the use of the liquidation proceeds in the event of the dissolution of the association
Every properly convened General Meeting is quorate. It is chaired by the President or, if he or she is unable to do so, by the deputy. Minutes must be kept of all resolutions.
Each member has one vote at the General Meeting.
Resolutions at the General Meeting are passed by a simple majority of the votes cast. In the event of a tie, the President has the right to cast the deciding vote. Resolutions concerning amendments to the Articles of Association require an absolute majority of the votes cast; resolutions concerning the dissolution of the Association require three quarters (3/4) of the votes cast.
- Executive Board
The Executive Board consists of three to six members, who are elected for two years. The board members must have at least a connection to a national or regional coaches‘ association. Re-election is permitted.
The Executive Board determines the principles of management and, together with the Secretary General, represents the Association vis-à-vis third parties. It appoints the Secretary General and any persons responsible for the confederations or regions and decides on the appointment and composition
of committees for the organization of events. It is responsible for issuing regulations.
The Executive Board also decides on all matters that are not expressly assigned to another organ of the Association.
The President is elected to the office of President by the General Meeting. The Board of Directors shall organize itself. It regulates the authorization to sign.
The Executive Board meets to the extent necessary to deal with the business at hand. Meetings can also be held online or in hybrid form. Each member of the Executive Board has the right to convene a meeting. At a minimum, minutes of the meetings of the Board of Directors are kept.
Resolutions are passed by a simple majority of the votes cast. In the event of a tie, the President may cast the deciding vote. Resolutions may be passed
by circular letter if no member of the Board of Directors requests an oral discussion. - Secretary General
The Secretary General is appointed by the Executive Board. The association concludes a mandate agreement with him, which also regulates his remuneration.
The General Secretary manages the day-to-day business of the association and represents the association vis-à-vis third parties together with the Executive Board. He reports regularly to the Executive Board.
The Secretary General prepares the General Meeting and the meetings of the Executive Board and implements the resolutions of these organs.
The Secretary General is also responsible for the preparation and organization of all events, in the case of symposia together with the committee responsible for holding events and in particular the persons responsible on site. He chairs the committees responsible for organizing events. - Confederation and regions
Responsible persons can be appointed to promote the purpose of the association in the individual confederations or regions.
They may be members of the Board of Directors.
This election is made by the General Meeting. - Committees for the organization of events
The association plans to hold a symposium lasting several days every two years. Other events such as webinars and other online tools are also planned.
Committees can be appointed to prepare and organize such events, in particular symposia. Where possible, at least one representative of the local
organizer should be involved in the organization of the symposium. - Auditors
The General Meeting may elect one or two auditors to audit the annual accounts and carry out a spot check at least once before the Ordinary General
Meeting. The auditors report to the General Meeting.
The auditors are elected for two years. Re-election is permitted.
IV. MEMBERSHIP FEE
- Membership fee, admission fee and liability
The annual membership fees and the admission fee are set every two years by the General Meeting. The maximum membership fee is CHF 1,800 and the maximum admission fee is CHF 600.
Only the association‘s assets are liable for the association‘s liabilities. Any personal liability of the association members is excluded.
V. FINAL PROVISIONS
- Association year
The association year is identical to the calendar year. - Dissolution of the association
If the association is dissolved, the General Meeting shall decide on the use of any liquidation proceeds. If no resolution is passed in this regard, the proceeds shall be distributed to the members on a pro rata basis. - Entry into force of the Statutes
These Statutes were adopted at the founding meeting on December 20, 2023 and came into force immediately.
